Terms of Service & Data Processing Addendum

Encore — UpSell post-purchase · Effective date: July 27, 2026

These terms form the agreement between Trackwise Studio (“we”, “us”), developer of Encore — UpSell post-purchase (“the App”), and the merchant who installs the App (“you”). By installing the App you accept these terms and the Privacy Policy. Part B is a Data Processing Addendum and applies whenever the App processes personal data on your behalf.

Part A — Terms of Service

1. The service

Encore shows post-purchase offers and surveys on the post-purchase, thank-you and order status pages of your Shopify store, and reports the resulting analytics in your Shopify admin. We provide the App on an “as is” basis and aim for continuous availability, but we do not guarantee uninterrupted service.

3. Fees and billing

Subscriptions are charged through the Shopify Billing API and appear on your Shopify invoice. Each plan starts with a free trial; after the trial the plan renews every 30 days until cancelled. You can cancel at any time from the App, and cancellation takes effect at the end of the current billing period. We never take a percentage of the revenue the App generates. Fees already charged are non-refundable except where required by law.

4. Intellectual property

We retain all rights in the App. You retain all rights in your store data, product content and the offers you create. You grant us only the limited licence needed to operate the App for you.

5. Liability

To the extent permitted by law, our aggregate liability arising out of or in connection with the App is limited to the fees you paid us in the twelve months preceding the event giving rise to the claim. We are not liable for indirect or consequential loss, including lost profits or lost sales.

6. Suspension and termination

You may terminate at any time by uninstalling the App. We may suspend or terminate access if the App is used unlawfully, if it puts the service or other merchants at risk, or if fees remain unpaid. On termination we delete your data as described in Part B, section 7.

7. Changes

We may update these terms as the App evolves. Material changes are announced in the App and on this page with an updated effective date. Continuing to use the App after a change means you accept it.

8. Governing law

These terms are governed by the laws of Romania, without regard to conflict-of-law rules. Nothing here limits any mandatory consumer or data-protection rights available to you under local law.

Part B — Data Processing Addendum

1. Roles

For the personal data the App processes about your customers, you are the controller and we are the processor. We process that data only on your documented instructions, which for the purposes of the GDPR are the settings you configure in the App and these terms. If we are ever required by law to process data otherwise, we will tell you first unless the law forbids it.

2. Subject matter and duration

The subject matter is the operation of post-purchase offers, surveys and the related reporting. Processing lasts for as long as the App is installed, plus the deletion windows in section 7.

We do not collect or store customer names, email addresses, phone numbers, shipping addresses or payment details, and we do not request those protected customer fields from Shopify. No special-category data is processed.

4. Consent

The App reads Shopify's Customer Privacy API on the thank-you and order status pages. Offers themselves are functional and always render, but when a buyer has declined analytics processing, the App records no impression, click or accept analytics for that buyer and those interactions never appear in your dashboard or CSV exports.

You authorise the subprocessors below. We remain responsible for their performance and will give you notice before adding a new one, so you can object by uninstalling the App.

8. Assistance and audit

We will help you respond to data-subject requests and, on reasonable written request and no more than once a year, provide the information needed to demonstrate compliance with this addendum.

9. International transfers

Data is stored in the EU. Where a transfer outside the EEA is unavoidable, it takes place under the European Commission's Standard Contractual Clauses.
